Terms of Service

1. Agreement to Terms

By registering for, accessing, or using TY LegalDesk (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a law firm or company, you represent that you have authority to bind that entity to these Terms.

2. The Service

TY LegalDesk provides a cloud-based legal document management platform including letterhead design, template management, document generation, digital signature workflows, company seal approval, CRM, invoicing, and related features ("Service").

We reserve the right to modify, suspend, or discontinue any feature or the entire Service at any time with reasonable notice.

3. Account Registration

To use the Service, you must register a company account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your password and restrict access to your account.
• Notify us immediately at support@techyenthra.in of any unauthorised use of your account.
• Accept responsibility for all activities that occur under your account.

4. Acceptable Use

You agree not to use the Service to:

• Create or store documents that are fraudulent, forged, or intended to deceive any person or authority.
• Violate any applicable Indian or international law or regulation.
• Upload or transmit malware, viruses, or any harmful code.
• Attempt to gain unauthorised access to other accounts, systems, or networks.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Resell or sublicense access to the Service without our written consent.

5. Content Ownership

You retain full ownership of all documents, templates, client data, and other content you create or upload ("Your Content"). By using the Service, you grant us a limited, non-exclusive licence to store, process, and transmit Your Content solely to the extent necessary to provide the Service.

We do not claim any ownership over Your Content and will not use it for any purpose other than operating the Service.

6. Intellectual Property

The TY LegalDesk software, branding, and all platform features are the intellectual property of Tech Yenthra. Nothing in these Terms transfers any ownership of our intellectual property to you.

7. Payment Terms

Subscription fees (if applicable) are billed in Indian Rupees. Invoices are due upon receipt. Late payments may result in suspension of the Service. Payment disputes must be raised within 15 days of the invoice date; see our Refund Policy for details.

8. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that documents generated will be accepted by any court, authority, or counterparty.

TY LegalDesk is a software tool, not a law firm, and does not provide legal advice. You remain solely responsible for the legal validity and accuracy of all documents created using the Service.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Tech Yenthra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or goodwill, arising from your use of the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from the Service shall not exceed the amount you paid to us in the 3 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Tech Yenthra and its officers, directors, and employees from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.

11. Termination

You may cancel your account at any time. We may terminate or suspend your account immediately if you breach these Terms, fail to pay applicable fees, or if we are required to do so by law.

On termination, your access to the Service will cease. We will provide a 30-day data export window before permanently deleting Your Content, unless termination was due to a breach.

12. Governing Law & Disputes

These Terms are governed by the laws of India. Any dispute arising from or related to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, in Chennai, Tamil Nadu.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you by email or in-app notice at least 14 days before changes take effect. Continued use of the Service after the effective date constitutes acceptance.
